The Congolese Investment Initiative – General Terms and Conditions for Participation
- Interpretation
These General Terms and Conditions for Participation (the “GTC”) apply to any person registered for or participating in any CII Engagement. For the GTC, the following words and expressions shall have the following meanings:
- “Agreement” means the Online Registration Form and the GTC.
- “CII Engagement” means any meeting, event, or activity of any nature whatsoever taking place under the auspices of the Congolese Investment Initiative, including but not limited to market days, physical and virtual board room sessions, as well as discussions between Participants, Sponsors, and the Groupe JNN.
- “GTC” means these General Terms and Conditions.
- “Online Registration Form” means the online registration form on the Registration Platform, completed by Participants to register and participate in any CII Engagement.
- “Participant” means any person registered for or participating in any CII Engagement.
- “Project(s)” means such project(s) or transaction(s) designated as being considered for financing by the Congolese Investment Initiative.
- “Registration Platform” means the online registration platform set up to register Participants.
- Cost of Attendance
- If a fee is payable for a CII Engagement, such fee and the payment modalities will be communicated in advance by CII Staff, the event manager, or on the CII website.
- Participants’ travel and accommodation costs, as well as any other expenses incurred during their participation in any CII Engagement, shall be borne by the Participant.
- Acknowledgement Entitlement
- The Participant’s name, title, and affiliated business/organization will appear on [a] The Congolese Investment Initiative webpage, [b] The Congolese Investment Initiative Application, and [c] may be acknowledged in other publications related to The Congolese Investment Initiative. Accordingly, the Participant may provide or use its logo and other marks in the Online Registration Form. The Groupe JNN cannot be held responsible for the use of such logos and other marks in publications or webpages.
- Non-Transferable
- The rights granted under the Agreement are non-transferable and can be used solely by the Participant during any CII Engagement.
- Changes or Cancellation of Any CII Engagement
- The Groupe JNN reserves the right to cancel or change the location, venue, dates, and schedule of any CII Engagement and will not have any liability to the Participant where it exercises such right and will not be considered to be in breach of the Agreement.
- Where the Groupe JNN cancels any CII Engagement, the Agreement is considered terminated as of the date of notification of the cancellation.
- Where the Groupe JNN changes the location, venue, dates, or schedule of any CII Engagement, the Participant may terminate the Agreement within thirty (30) days from the notification of the change.
- Registration Process
- The Registration process is handled online by the Groupe JNN through its Event Manager or staff of the Congolese Investment Initiative.
- The Participant shall register before any CII Engagement.
- Restrictions on Admission
- The Participant hereby acknowledges and agrees that the Groupe JNN reserves the right to restrict both the number and seniority level of Participants to any CII Engagement.
- Respect for Applicable Rules and Guidelines
- The Participant shall comply with and ensure that any of its employees, officers, directors, and agents involved in any CII Engagement comply with any rules and guidelines provided by the Groupe JNN (e.g., access control, security, evacuation, etc.).
- Confidentiality and Data Protection
The Participant acknowledges:
- The confidential nature of teasers and other information relating to Projects that may be circulated during any CII Engagement.
- That disclosure of additional confidential information about specific Projects will be subject to prior execution of adequate confidentiality arrangements.
- That Confidential Information includes information received from the Groupe JNN, other Participants, or otherwise obtained in connection with the Agreement.
The Participant undertakes to:
- Treat Confidential Information with at least the same degree of care as its own confidential information and not disclose it to unauthorized persons.
- Ensure disclosure is made only to Related Persons and Third Party Representatives as necessary for the CII Engagement.
- Not publish or disclose Confidential Information without the Groupe JNN’s prior written consent.
Confidential Information shall not include information that:
- Was known to the receiving third party before disclosure.
- Becomes public knowledge through no breach of confidentiality.
- Is lawfully obtained after the date of this Agreement from another source.
- Is developed independently by the Participant without reference to Confidential Information.
The Participant agrees to indemnify the Groupe JNN against any costs arising from disclosure of Confidential Information.
- Use of Participant Image by the Groupe JNN
The Participant grants permission to the Groupe JNN to take photographs, videos, or recordings at any CII Engagement. The Groupe JNN has the right to use these materials to promote the Congolese Investment Initiative. The Participant waives any right to inspect or approve the use of these materials and agrees to indemnify the Groupe JNN against any claims related to their use.
- Use by Participant of Groupe JNN’s Intellectual Property and Names
The use of the Groupe JNN’s intellectual property, including trademarks and logos, by the Participant on any document or in any promotional activities is not permitted unless expressly agreed in writing by the Groupe JNN.
- Use by Participant of Marks at CII Engagements
The Participant shall not use any trademarks, logos, banners, or advertisements of the Participant or the business represented at any CII Engagement without authorization from the Groupe JNN.
- Termination
- The Agreement may be terminated by either Party with written notice at least ten (10) days before the termination date.
- Either Party may terminate the Agreement immediately if the other Party breaches its obligations.
The Groupe JNN reserves the right to terminate the Agreement for default without allowing the Participant to remedy if:
- There is a change in the Participant’s business that affects eligibility.
- The Groupe JNN believes its image or mission could be threatened by the Participant.
- General Provisions
- The Participant acknowledges that the Groupe JNN plays a facilitatory role and shall not be liable for any damages arising out of or connected with any CII Engagement.
- The Groupe JNN shall not be liable for loss or damage to the Participant due to breach of the Agreement, except in cases of gross negligence.
- Force Majeure
Any delay or failure in performance due to Force Majeure shall be excused. The affected Party must give prompt written notice of the nature and duration of the Force Majeure.
- Entire Agreement
The Agreement constitutes the entire agreement between the parties and supersedes any prior communications.
- Privileges and Immunities
This Agreement shall not waive any rights or privileges entitled to the Parties by international treaties or applicable law.
- Survival
Provisions relating to Confidentiality, Use of Image, and Liability shall continue in effect after termination of the Agreement.
- Applicable Law and Dispute Resolution
This Agreement shall be governed by English Law. Any disputes shall be resolved by a sole arbitrator under UNCITRAL Arbitration Rules, with arbitration in London, England.
These terms and conditions establish the framework for participation in the Congolese Investment Initiative, ensuring clarity and mutual understanding among all parties involved.
